GOODWILL ENTERTAINMENT HOLDING LIMITED The Company was incorporated as a private company limited by shares in Singapore on 12 December 2016. On 25 October 2024, the Company was converted to a public limited company and its name was changed from Goodwill Entertainment Holding Pte. Ltd. to Goodwill Entertainment Holding Limited. Goodwill Entertainment is a management services company that originates, owns, and operates concepts and intellectual property (IP) in the Food & Beverage, Play, and Entertainment universe. The Group operates multi-entertainment concepts comprising a network of family-friendly karaoke facilities with F&B concepts, performance halls, and dance clubs, under the brand names “HaveFun Family Karaoke”, “FATEbyhavefun”, and “HaveFun Live Show”. The Group has two main business segments: karaoke lounges with multi-entertainment venues, and live show concepts. The first segment comprises 11 “HaveFun Family Karaoke” outlets across Singapore, offering a variety of amenities including private cinemas, pool tables, dart machines, and various board and console games. The live show concept features “HaveFun Live Show”, a revolutionary concert space spanning over 10,000 sqft that seamlessly blends cutting-edge lighting technology with state-of-the-art audiovisual equipment. The Company was listed on the Catalist Board of the Singapore Exchange Securities Trading Limited (SGX-ST) on 15 November 2024, following a placement of 60,000,000 shares at S$0.20 per share which was approximately 1.5 times oversubscribed. The IPO raised approximately S$6.45 million in net proceeds to fund regional and global expansion, broaden existing business verticals, pursue acquisitions and strategic partnerships, invest in entertainment technologies, and for general working capital. The Group intends to expand into the Southeast Asian region, starting with Malaysia, while continuing to grow its footprint in Singapore by opening new outlets in key neighbourhood regions.
